Medellín, August 18, 2025. Odinsa, a Grupo Argos company, solidified its entry into Mexico with a new water infrastructure investment platform— part of its profitable growth strategy—by announcing the closing of its acquisition of the Mexican company Tecnología Intercontinental S.A.P.I. DE C.V. (Ticsa) from EPM Capital México and EPM LATAM, subsidiaries of Grupo EPM.
Once the conditions precedent to the transaction were satisfied—including approval from the Mexican competition authority—Odinsa completed payment for 100% of Ticsa’s shares, a company with 45 years of experience in the design, construction, operation, and maintenance of wastewater treatment and water purification plants. The transaction value (Equity Value) totaled MXN 1.499 million (approximately USD 88 million). The transaction also includes a contingent payment of MXN 224 million, subject to the fulfillment of certain conditions.

Ticsa is a leader in comprehensive water treatment solutions with 45 years of experience, during which it has built 175 plants in Mexico, Colombia, and Chile.
Among its most significant achievements is the execution of large-scale projects such as the wastewater treatment plants in Tierra Negra (1,500 liters per second, or lps) and Celaya (750 lps), which, together with its other plants, collectively treat wastewater equivalent to the needs of 9 million people.
Odinsa Aguas, the new investment platform that will replicate Odinsa’s already well-established concession model in the water sector, will focus on two main areas: (i) wastewater treatment and reuse, with the goal of reducing pressure on natural water sources; and (ii) water desalination for sectors such as mining and industry, particularly in regions with high water stress. As part of this platform’s development, Odinsa Aguas plans to evaluate projects in several Latin American countries, including Mexico, Chile, Peru, and Colombia, as well as in other markets with high demand for water infrastructure and a favorable environment for long-term investment.
The new water division marks a milestone in Odinsa’s consolidation as an infrastructure asset manager, in line with its goal of evolving into Grupo Argos Asset Management, thereby centralizing the roles of asset management and capital raising, with Grupo Argos acting as an anchor investor. This evolution will strengthen Odinsa’s capabilities, facilitate access to local and international capital, and scale growth opportunities through structures that are more efficient and comparable to global standards.
“As the sole asset manager for Grupo Argos, we will take on the challenge of creating investment opportunities, attracting capital, and operating specialized infrastructure assets. Today we are consolidating our water business, but we expect to expand into other platforms—such as energy and ports, among others—in the medium term,” added Jean Pierre Serani.
Odinsa’s arrival in Mexico marks the beginning of a new phase for the company, which will continue strengthening its portfolio of infrastructure investment platforms and advancing its transformation into Grupo Argos Asset Management, with the goal of generating sustainable value for its investors and the communities in which it operates.
